Overview

The Key Clauses feature enables you to select specific Clauses from your Clause Library for automatic review across all Contract records. This functionality reduces manual effort by pre-loading commonly used Clauses into Contracts, allowing users to select Yes or No based on the Clause's relevance to each specific Contract.

Audience

Prerequisites

  • Ensure that TechnoMile's Contracts Suite is already installed and configured.

  • Users must have appropriate permissions to access the Contract Clauses, Key Clauses, and Clause Library.

Define Clauses as Key Clauses

  1. Log in to your Microsoft Dynamics instance.

  2. Go to Clauses and open a Clause.

    Clause Library page opens.

  3. On the General tab, scroll to the Is Key Clause field and select Yes from the list.

  4. Click Save & Close.
    Clause is now designated as Key Clause.

View Key Clauses

  1. Go to Clauses and click FAR Clause Library.

  2. Select Key Clauses from the list.
    A list of all Key Clauses displays.

Add Key Clauses to Contracts

  1. Go to Contracts and click New.
    New Contract page opens.

  2. On the General tab, specify all the relevant Contract details.

  3. Click Save & Close.
    A Contract record is created.

  4. Open the newly created Contract Record and go to the Key Clauses tab.
    A list of all Key Clauses displays in the Needs Review column from the Clause Library.

  5. For each Clause in the Needs Review column:

  • Select the checkbox under Yes for the Clauses that you want to add to this Contract record.

  • Select the checkbox under No for the Clauses that are not applicable to this Contract record.

  1. Click Save.
    Clauses are added to their respective Yes and No columns, based on your selections.
    Clauses that are added and saved as Yes are added automatically on the Contract Clauses tab.

Delete Key Clauses

The following validations apply while deleting Key Clauses:

Mod Added must equal Mod Removed

The validation permits you to delete a Key Clause only when the Contract's Modification added equals the Modification removed. This means a Key Clause can be deleted only if it was both added and removed during the same Modification cycle.

Case 1: Add and Delete Key Clause from same Modification

When the Contract is in Draft status, it has only one Modification, identified as Mod Number - Mod 0.
On the Contract Clauses tab, you can only remove a Key Clause from the Assigned Clauses section. You cannot delete the Clause as the validation condition is not met.
Similarly, on the Key Clauses tab, you cannot uncheck or mark the Clause as No. If you attempt to do so, the following error will display:
The validation condition is met only after you remove a Clause from the Assigned Clauses section and the Clause displays in the Removed Clauses section. Once the Clause is moved to the Removed Clauses section, you are allowed to delete it.
Since the validation condition is met, you can now uncheck or mark the Clause as No on the Key Clauses tab.

Case 2: Add and Delete Key Clauses from different Modifications

When the Contract is in the Administer status and is unlocked, a new Modification - Mod 1, is created.
Since the Clauses were added in the previous Modifications, the validation condition is not met. In this case, you cannot delete the Clauses; you can either restore or keep them in the Removed Clauses section.
Since the validation condition is not met on the Key Clauses tab, you cannot uncheck or mark any Clauses as No that were added in previous Modifications. If you attempt to do so, the following error will display:
