Electronic Signature Process using DocuSign

Overview

You can use TechnoMile's Agreement Management feature to view the complete life cycle of Agreement generation and management on Contracts, Opportunities, and Growth Opportunities, including the review processes associated with Agreements.

You can use Agreement Management to create different types of Agreements such as Non-Disclosure Agreements (NDAs), Teaming Agreements (TAs), etc. You can use these Agreements to automate the management of the associated Agreement Teams and various other processes such as Internal and External Reviews, Approvals, and Electronic Signatures.

Prerequisites

  • Ensure that Contracts Suite -Sales Cloud Edition is already installed and configured. The version of this package must be 2025.2 or higher.

Creating Agreements from Accounts

  1. Navigate to an Account record page using App Launcher. 

  2. In the Related List Quick Links section, click Agreements. 

  3. Click New

    NOTE

    Alternatively, you can also go to the Related tab to create a new Agreement.

  4. Choose a Record Type and click Next

  5. Select Status as Draft, specify the Agreement Name, Partner POC, and Agreement Admin, and click SaveThe Agreement record is created. 

    NOTE

    • The Partner Name field is auto-populated with the Account Name field value. However, you can edit this field.

    • Fields marked by the red asterisk (*) sign are mandatory.

    • The system automatically creates two entries for the specified Contact in the Partner POC field within the External Reviewer section of the Reviewers and Signatories tab, with the Role field values set as Reviewer and Signatory.

Sending Agreements for Internal Review

  1. Navigate to the Reviewers and Signatories tab of the newly created Agreement record.

  2. Click New in the Agreement Teams section. 

  3. Specify the User and Role and click SaveThe User is added to the Agreement Team.

  4. Similarly, you can add other Agreement Team Members. 

    NOTE

    You can specify any value in the Role field except Signatory, for the User to be added as a Reviewer to the Agreement Team for the internal review process.

  5. In the Related List Quick Links section, click Files

  6. Click Add Files.

  7. Click Upload Files.

  8. Select the file that you want to upload and click Open.

  9. Click Done.
    The file is uploaded.

  10. Go back to the Agreement record page by clicking the Agreement number.

    NOTE

    You can also click Generate Agreement to generate an Agreement document based on the available template.

  11. Click Send for Internal Review.

  12. Select the checkboxes next to the Name and the Files Available to Attach columns and click Send Email.

    NOTE

    If there are no files available to be attached, you can click the Upload Files button and then upload an Agreement document from your system as shown in steps 7 to 9. You can also select the Add me in CC checkbox to receive a copy of this email.

    The value in the Status field automatically changes to Submitted for Internal ReviewOn the Reviewers and Signatories tab, note that the Status fields are updated to Sent for review and the Date Sent fields are automatically updated with the current date and time. The Agreement Team members also receive an email with the attached Agreement document, along with the link to the Agreement record. 

  13. Once an Agreement Team Member has reviewed the Agreement, they can click Internal Review Done to complete the review process. The Status field changes to Review completed and the Date Completed field gets updated with the current date and time for that Agreement Team member. An email is also sent to the Agreement Admin. 

  14. To manually change the Status field of an Agreement Team member, the Agreement Admin can go to the Agreement Team member record, click the pencil icon within the Status sub-section, specify the new field value, and click SaveThe Status field value changes. Once all the Agreement Team Members have reviewed the Agreement, the values in the Status fields within the Agreement Teams section automatically change to Review completedAlso, the Status field on the Details tab of the Agreement automatically changes to Internal Review Done

    IMPORTANT

    To send emails to Agreement Team Members to complete their review process, the Agreement Admin can select Send review follow-up in the drop-down menu in the top right corner, then select the checkboxes next to the Email fields, and click Send Follow-up.

    NOTE

    Your Administrator can use the Agreement Wizard Setting feature to configure follow-up emails that will be sent automatically after the specified number of days.

    Also, for the Review follow-up feature to work, the Status field value of the Agreement Team Member must be Sent for Review.
    14. To exclude Agreement Team Members from the review process, the Agreement Admin can select Recall in the drop-down menu within the Agreement Teams section, then select the checkboxes next to the Agreement Team Name column to be excluded, and click ProceedThe Status fields of the recalled Agreement Team Members change to Review Request Recalled.
    An email is also sent to the Agreement Team Members.

    NOTE

    If the review request is recalled for all the reviewers, then the status of the Agreement changes to Draft.

    15. If the field does not change automatically due to the internal review being recalled or any other reason, the Agreement Admin can click Internal Review Done, and then click Yes to manually complete the internal review process. 

Sending Agreements for External Review

  1. On the Reviewers and Signatories tab, scroll down to the External Reviewer section and click New.

    NOTE

    The system automatically creates two entries for the specified Contact in the Partner POC field when creating an Agreement, with the Role field values set as Reviewer and Signatory.

  2. Specify the Contact, select Role as Reviewer, and click SaveThe Contact is added as an External Reviewer.

  3. Similarly, you can add other External Reviewers. 

  4. Click Send for External Review

  5. Select the checkboxes next to the Name and the Files Available to Attach columns and click Send Email

    NOTE

    • If there are no files available to be attached, you can click Upload Files and then upload an Agreement document from your system as shown in steps 7 to 9 in the previous section. You can also select the Add me in CC checkbox to receive a copy of this email.

    • The value in the Status field on the Details tab automatically changes to Submitted for External Review

    • On the Reviewers and Signatories tab, the Status fields are updated to Sent for review and the Date Sent fields are automatically updated with the current date and time.

    • An email is also sent to all the External Reviewers, along with the Agreement document as an attachment.

    • Once an External Reviewer receives the email, they can then modify the Agreement document by downloading the attachment, making the necessary changes, and replying to all with the revised document attached. In such cases, the system recognizes the updated version of the document. Conversely, if no alterations are required in the Agreement document, they can then reply to all without attaching any files.
      Once an External Reviewer completes their review process, the Status field changes to Review completed and the Date Completed field gets updated with the current date and time for that External Reviewer.
      Emails are also sent to both the External Reviewer and the Agreement Admin.
      To manually change the Status field of an External Reviewer, the Agreement Admin can go to the External Reviewer record, click the pencil icon within the Status sub-section, specify the new field value, and click SaveThe Status field value changes. Once all the External Reviewers have reviewed the Agreement, the values in the Status fields automatically change to Review completedAlso, the Status field on the Details tab of the Agreement automatically changes to External Review Done

      IMPORTANT

      You can also use the Review Follow-up and Review Recall features as shown in the previous section.

Sending Agreements for Electronic Signature

  1. To add internal Signatories in the Agreement Teams section, click Add As Signatory

  2. Select the checkboxes next to the Agreement Team Name column and click ProceedThe internal Signatories are added. 

    NOTE

    You can also add a new Signatory by clicking New, specifying the User, selecting Role as Signatory, and clicking Save.

  3. Similarly, to add external Signatories, click Add As Signatory in the External Reviewer section. 

  4. Select the checkboxes next to the External Reviewer Record No. column and click ProceedThe external Signatories are added. 

  5. Click Electronic Signature

  6. Specify the Order and select the checkboxes next to the Name column. You can select a file from the existing files associated with the Agreement or attach new files by clicking Upload Files, selecting the file, clicking Open, and then clicking Done. You can also drag-and-drop files to attach them.

  7. Click Send Email.

    NOTE

    • If the Order fields have identical values for two or more Name fields, the Electronic Signature process for those users will run in parallel.

    • You can select the Add me in CC checkbox to receive a copy of this email.

    • You can attach only one file for Electronic Signature.

    • If you have a version of the Contracts Suite that is older than 2024.1, then the Partner POC also displays as a Signatory after clicking Electronic Signature.

  8. Click Confirm & Send.

    NOTE

    • The value in the Status field on the Details tab of the Agreement record automatically changes to Submitted for E-Signature.

    • An email is sent to all the Signatories based on the signing order as shown in step 7 and the Status field in the Signatory Status section changes to Sent.

    • The Status field in the External Reviewer section changes to Sent for review for the Contact and the Date Sent field is updated with the current date and time.

Electronic Signature Process using DocuSign

  1. Click Review Document in the email you receive from DocuSign.

  2. Click Continue

  3. Click Start

  4. Click Sign.

    NOTE

    If your Administrator had already configured anchor text for dates, then dates will automatically be stamped for each Signatory in the document, as visible below.

  5. Click Adopt and Sign

  6. Click Finish.
     The Agreement Electronic Signature process is complete for the Signatory. The Status field in the External Reviewer section changes to Review completed and the Date Completed field is updated with the current date and time. An email is also sent to the Agreement Admin for every Signature completed by the Signatories. Once all Signatories have completed the Electronic Signature process, the Status field on the Details tab of the Agreement record changes to E-Signature Completed

    IMPORTANT

    To send emails to Signatories to complete their review process, the Agreement Admin can click Send e-signature follow-up in the drop-down menu at the top right corner, select the checkboxes under Action, and click Send.

    NOTE

    Also, for the E-Signature follow-up feature to work, the Status field value of the Signatory must be Sent for Review.

  • To exclude Signatories from the review process, the Agreement Admin can click Recall All Signatories in the Signatory Status section, specify Reason, and click Submit The Status fields of the recalled Signatories in the Signatory Status section change to Review Request RecalledAn email is also sent to the Signatories. If the recall process is initiated by a user, the Agreement Admin also receives an email.  

    NOTE

    If the review request is recalled for all the Signatories, then the Status of the Agreement changes to External Review Done. If the value entered in the Legal Approval Required field during Agreement creation was set to Yes, then it changes to Approved by Legal.

Creating Agreements from Our Contracts

  1. Navigate to an Our Contract record page using App Launcher.

  2. Go to the Related tab.

  3. In the Agreements section, select the type of Agreement that you want to create. You can then follow the instructions from step 5 onwards, as shown in the Creating Agreements from Accounts section.

Creating Agreements from Contract Partners

  1. Scroll down to the Contract Partners section and go to any Contract Partner record page. 

  2. Go to the Related tab.

  3. In the Agreements section, click NewYou can then follow the instructions from step 4 onwards, as shown in the Creating Agreements from Accounts section. 

Creating Agreements from Subcontracts

  1. Navigate to a Subcontract record page using App Launcher.

  2. Go to the Related tab.

  3. In the Agreements section, select the type of Agreement that you want to create. 
    You can then follow the instructions from step 5 onwards, as shown in the Creating Agreements from Accounts section.

Creating Agreements from Opportunities and Growth Opportunities

Prerequisites: Ensure that TechnoMile's Growth Suite is already installed and configured. The version of this package must be 2024.3 or higher.

NOTE

Growth Suite users can also create Agreements from Opportunity and Growth Opportunity records.

  1. Navigate to an Opportunity/Growth Opportunity Record page using App Launcher.

  2. Go to the Related tab.

  3. In the Agreements section, click New
    You can then follow the instructions from step 4 onwards, as shown in the Creating Agreements from Accounts section.

Automated Processes

  • For an NDA type of Agreement, if the End Date field is populated and the Agreement record is associated with an Account/Partner record, once the Electronic Signature process is complete, it automatically changes the Account/Partner record specified in the Partner Name field of the Agreement. There are two scenarios:

    • In the Account/Partner record, if the NDA Expiration Date is later than the current date, then the NDA Status changes to Has Valid NDA and the NDA Expiration Date is set to the End Date populated in the Agreement record.

    • In the Account/Partner record, if the NDA Expiration Date is earlier than the current date, then the NDA Status changes to Requires New NDA and the NDA Expiration Date is set to the End Date populated in the Agreement record.

  • Whenever the Partner POC changes, the system automatically creates two entries for the specified Contact in the External Reviewer section of the Reviewers and Signatories tab, with the Role field values set as Reviewer and Signatory. However, if the specified Contact already exists in the Related List, no additional records are created.

  • After the Electronic Signature process is complete, the Status of the Agreement automatically changes to Active on the Start Date. Similarly, on the End Date of the Agreement, the Status automatically changes to Ended/Expired. Note that if only one of the date fields is populated, it still triggers the corresponding action.

  • The Agreement Admin receives emails when they are assigned to an Agreement or when the Status of an Agreement automatically changes.

Reports and Dashboards in Contracts Suite

  1. Go to Home.
    In the Approver Dashboard, you can view lists of Agreements Awaiting Your Internal Review/Signature.

  2. Go to My Contracts Dashboard.
    You can view lists of your Active NDA/TA Agreements sorted by Status, as well as your Expiring NDA/TA Agreements for the Next 60 Days.

Reports and Dashboards in Subcontracts Suite

  1. Navigate to Subcontracts Suite using App Launcher. 

  2. On the Home tab, within the Approver Dashboard, you can view lists of Agreements Awaiting Your Internal Review/Signature.

  3. Go to My Subcontracts Dashboard.
    You can view lists of your Active NDA/TA Agreements sorted by Status, as well as your Expiring NDA/TA Agreements for the Next 60 Days.
