Removing Clauses

Overview

You can use the Contract Specific Clauses feature to convert Contract Specific Clauses into Contact Clauses and link them to a particular Contract/Subcontract.

Audience

  • Contracts Suite Users

Prerequisites

  • Ensure that Contracts Suite - Sales Cloud Edition is already installed and configured. The version of this package must be 2024.2 or higher.

Using Contract Specific Clauses on Our Contracts

Converting a Contract Specific Clause to a Contract Clause

  1. Navigate to an Our Contracts record page using App Launcher.

  2. Go to the Clauses tab.

  3. Click to expand Contract Specific Clauses.

  4. Click Convert against a Contract Specific Clause Name.

Selecting a Matching Clause

  1. Choose a Clause Type.
    Notes:

    • The chosen Clause Type affects and improves the Match % of Clauses displayed in the Matching Clauses present in the Clause Library section.

    • You can also select the Show Archived Clauses checkbox to view all Clauses that have been marked as Archived in the Matching Clauses present in the Clause Library section.

  2. Choose an option against a Clause Number and click Save.

  3. Click OK on the confirmation message.
    The Contract Specific Clause is added as a Contract Clause and is moved from the Contract Specific Clauses section into the Contract Clauses section.

    IMPORTANT

    The selected Clause replaces a Contract Specific Clause. However, if you do not wish to replace any Contract Specific Clause, then ensure that you do not select a Clause in this section.

    NOTE

    If you select a Clause and click Save, and if the Clause record is already associated with a Contract, then an alert message will display. You can then, choose to click OK to delete the existing Contract Specific Clause or click Cancel to go back to the previous window.v

  4. Click to expand Contract Clauses.
    The Contract Specific Clause added in the previous step displays in the Contract Clauses section. 

Adding a New Clause to Clause Library

NOTE

During this process, in case the system identifies a Clause with Match % as 100 already being present in the Clause Library and the user still clicks Save without selecting a matching Clause, then the following Error! message will display.

  1. Navigate to an Our Contracts record page using App Launcher.

  2. Go to the Clauses tab.

  3. In the Contract Specific Clauses section, click Convert against another Contract Specific Clause Name.

  4. Choose a Clause Type and click Save.

  5. Click OK on the confirmation message.
    The Contract Specific Clause is added as a Contract Clause and is moved from the Contract Specific Clauses section into the Contract Clauses section.

Creating a Contract Specific Clause

  1. Navigate to an Our Contracts record page using App Launcher.

  2. Go to the Clauses tab.

  3. In the Contract Specific Clauses section, click New.

  4. Specify details such as Contract Specific Clause Name, Clause Description, Clause Summary, etc., and click Next.
    When selecting Clause Flows the following drop-down menu options are available:

    Option

    Description

    None

    Implies the added Clause will be automatically associated with both its child Our Contract records and Subcontracts.

    Does Not Flow

    Implies the added Clause will NOT be automatically associated with any of its child Our Contract records or Subcontracts.

    Flows to SubKs

    Implies the added Clause will be automatically associated with all its child Subcontracts.

    Flows to BOTH

    Implies the added Clause will be automatically associated with both its child Our Contract records and Subcontracts.

    Flows to TOs

    Implies the added Clause will be automatically associated with all its child Our Contract records.

  5. Enter details such as Mod Added, Added Date, Mod Removed, etc., and click Save.

    The Contract Specific Clause is created. 

Removing Clauses

IMPORTANT

You can remove only the Contract Specific Clauses within a Contract and not the Clauses in the Clause Library.

Deleting a Clause When the Contract is in Draft

When the Record Status field on the Contract is set to Draft, the following occurs when deleting a Clause:

Click the delete icon.

The Contract Specific Clause is deleted.

Removing a Clause When the Contract is not in Draft and Approved

When the Record Status field on the Contract is set to any value other than Draft, the following two scenarios occur when deleting a Contract Specific Clause:

When the Current Open Mod is Different From the Mod in Which the Contract Specific Clause was Added

Click the delete icon.
The Contract Specific Clause is removed and moved to the Removed Contract Specific Clauses section.

When the Current Open Mod is Same as the Mod in Which the Contract Specific Clause was Added

Click the delete icon.The Contract Specific Clause is deleted and is not moved to the Removed Contract Specific Clauses section.

Using Subcontract Specific Clauses on Subcontracts

  1. Similarly, you can perform all the actions listed above such as Convert, Match, and Add Clauses on Subcontracts by navigating to the Subcontract Specific Clauses section on the Clauses tab of a Subcontract record.
